General Terms and Conditions of Business

1. Place of performance shall be the place of dispatch.
    
   
2. (a) All deliveries are made against immediate cash payment after receipt of invoice, if nothing to the contrary has been agreed upon. In case of default, we shall charge interest in arrears at an interest rate according to established banking practice.
   (b) With debt-freeing effect, the purchase price shall have to be paid directly to the supplier.
   (c) If the creditworthiness of the buyer deteriorates, we shall reserve the right to request guarantees of the buyer, even after partial shipment of the goods, which permit us to meet the obligations entered into.
   If the buyer does not satisfy us, we shall have the right to rescind the complete order or a part thereof.
   (d) All deliveries shall be effected under reservation of ownership in the goods delivered until complete fulfilment of all obligations based on the business relationship with us.
   (e) In case of justified complaint lodged in due time we shall be permitted to either supply replacement or to reduce the purchase price according to our discretion.
    
   
3. The reservation of ownership shall be based on the conditions rendered hereinafter:
   (a) Apart from further processing or conventional and usual further sale, other disposition of the goods shall be impermissible, in particular the pledging and field warehousing to a third party.
   (b) Goods produced by further processing shall become our property immediately (anticipated transference and property sharing).
   (c) Rights and claims of third parties derived from the goods belonging to us shall be assigned to us in advance, in particular the purchase price claim towards the buyer of the goods.
   (d) Attempts of seizure or other access of a third party to our property under reservation of ownership or to the claims and rights assigned to us shall be objected to immediately. In addition, we shall have to be notified immediately by the fastest means.
    
   
4. Complaints shall be made by telephone or facsimile only within forty-eight hours after receipt of the goods.
   Insignificant deviations shall not justify a complaint.
    
   
5. In case of force majeure or in case of delayed or incorrect delivery of the manufacturer, there shall be no liability. We will try to carry out the order correctly, in time and completely whereby the buyer agrees to a reasonable complement of the lot in advance.
    
   
6. The venue for all legal disputes shall be St. Vith or Eupen, respectively.
